BSP Rewards Terms and Conditions of Use

Your Access is Your Responsibility:

          Use of BSP REWARDS is conditioned upon you having access to the Internet / World Wide Web. Such access and all related hardware, software and services costs are your sole responsibility and you hereby release BSP REWARDS from any liability for any errors, failures or malfunctions of all such hardware, software and/or services.

Your Use is Your Consent:

          Your use of the Site and/or branded and/or related sites is deemed to be an acceptance of this agreement and legally binds you to these terms of use and to any additional terms or conditions that may accompany the use and/or be required by the provider of any particular product(s) or service(s) and/or incentives related to the Site. Within BSP REWARDS's sole discretion these terms are subject to amendment, change, modification, revision or termination at any time without advance notice to you. Any and all such changes shall be immediately effective at the time they are posted on the Site and it is your (the user's) duty to maintain through the Site, your familiarity with these terms and conditions as they change over time.

You Must Be At Least 18 Years of Age:

          BSP REWARDS are only available to persons who have reached the legal age of majority in their state (usually the age of eighteen (18)).

Your BSP REWARDS 100% Guarantee:

          BSP REWARDS guarantees that you will receive the benefit of the incentive(s) as presented on the Site from the provider(s) so presenting, subject to all of its/their conditions, or BSP REWARDS will pay you the value of the incentive, so long as you comply with the following procedure:

In the event you present a BSP REWARDS incentive as required by the offer, have your membership in good standing, prove your BSP REWARDS eligibility to a provider, and that provider declines to honor his BSP REWARDS incentive as posted on the Site at that time, then you must:

Within forty-eight (48) hours report the declining event in detail to BSP REWARDS customer service, or its designee(s), via the then current customer service channels posted on the Site;

BSP REWARDS shall, upon receiving the requisite detailed information within its requisite time period:

Urge the provider to honor the agreed upon incentive

In the event the provider complies,

BSP REWARDS will contact you, the subscriber,

In the event the provider declines to comply with our request to remedy the situation, then BSP REWARDS shall:

Terminate the provider's BSP REWARDS agreement

Remove any and all remaining incentives from the Site, and

Notify all BSP REWARDS subscribers of the incident, the provider's choice, the withdrawal of the incentive(s), and issue a reminder recommendation to patronize our loyal incentive providers.

Then, BSP REWARDS will place rewards points in your account in the exact value as to reward points used in said transaction.

Your Information And Your Privacy:

If you provide information to the Site where requested, you agree to provide accurate, current and complete information about yourself and you agree to maintain and update such information as appropriate. BSP REWARDS will only disclose such information as outlined in our privacy policy. For more information, please see our full Privacy Policy. Any changes to the Privacy Policy will be effective immediately upon posting to the Site. Your use of the Site after such posting will be deemed acceptance of such changes. It is your responsibility to review the Privacy Policy periodically to ensure your familiarity with its most current version.

Your Conduct as a User:

You are responsible for any and all content that you send to us. You may not use this Site or other participating sites or any information that you get from the Site or other to:

Interfere with any other user's use of the Site;

Conduct any unlawful activity;

Intentionally solicit or harm minors in any way;

Misrepresent your own identity or any affiliation that you may have;

Alter or remove any copyright, trademark or other proprietary rights notices;

Our Intellectual Property and Your License to Use It:

          The BSP and Branded BSP Sites, the software used with the Site, and all content ... such as computer code, text, graphics, site-images, etc., plus the collection, arrangement and assembly of such, are the exclusive intellectual property of BSP REWARDS, or its affiliates, and is protected by both United States and international intellectual property laws; specifically, copyright, trademark/service mark, trade secret, trade dress, patent and/or other proprietary rights and laws. BSP REWARDS grants to you only a limited, non-exclusive, non-transferable, non-assignable license to use the intellectual property on the Site solely for the purposes of viewing the Site and/or exercising the incentives offered therein, and utilizing the Independent Member Representative area functions of the Site, if you so qualify. BSP REWARDS and/or it's affiliates retain all right, title and interest in all content, components and/or material related to the Site. You may not sell, resell, de compile, reverse engineer, disassemble or otherwise translate any of the software portions of the Site or to a human-readable form. You may not copy, reproduce, republish, upload, post, transmit or distribute materials from the Site or in any way except as authorized herein or thereon or by other prior written permission from BSP REWARDS. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Site or, in whole or in part, nor use any content for any purpose other than that intended, unless previously authorized by us in writing. Any unauthorized use of any material contained in the Site is strictly prohibited.

The BSP REWARDS ("Program") is operated by BSP Rewards ("BSP") and MediaNet Group Technologies, Inc. ("Us", "our", or "we"). When you enroll in the Program as a collector of BSP reward points, you are eligible to collect points by making purchases from participating merchants ("partners") and to redeem the BSP in your account goods and services provided by participating Partners.

PARTICIPATION IN THE PROGRAM

Enrollment, membership and all related benefits of the Program are offered at our discretion. By enrolling or using the Program or collecting BSP, you agree that you have read and understand these Terms and Conditions and are bound by all of them, as changed from time to time, and you consent to our collection and use of your personal information in accordance with our Privacy Policy (see below).

BSP reserves the right at any time to limit Program enrollment. BSP Rewards may discontinue membership privileges and void or cancel a member's entire point balance if any points in the member's account are issued, received or redeemed through fraud or theft or otherwise illegally or not as authorized in these Terms and Conditions or in other current Program rules. These rights are in addition to any other legal or equitable remedy which may be available to BSP under applicable law.

All visitors to BSP Rewards.com are also required to comply with the following rules and regulations.

Certain states/provinces/countries may have additional restrictions. Also, please see each Partner for their specific terms and conditions.

MEMBER OBLIGATIONS

Members shall comply with all rules, laws, and regulations that are applicable. Members acknowledge that they may only participate in the Program if and to the extent that such participation is permitted by such laws, rules, and regulations. BSP may refuse at any time to enroll a member, or to restrict, modify, or terminate a member's participation in the Program without liability to the member or any other party, if a member violates any law, rule, or regulation, or if a Member's participation in the Program violates any law, rule, or regulation.

Members agree not to forward any BSP Rewards promotions or offers to other Members or non-Members without first obtaining the express written permission of BSP Rewards. BSP offers are specifically targeted to individual Members unless otherwise stated.

Members agree not to misuse BSP Rewards Program privileges by conduct which is detrimental to BSP, including without limitation attempting to accrue BSP or spend BSP in a manner inconsistent with the policies of BSP or the intent of this Agreement, having multiple accounts, making purchases on the behalf of other Members, participating in purchasing or redemption fraud, using any robot, spider, other automatic device or manual process to transact with or monitor the Program.

Members agree to provide only accurate and true information to BSP at all times.

Members agree to comply with all terms and conditions herein and in of, partner offers, and promotions at all times.

Members agree to promptly notify BSP of any change in address (mail or email) by updating personal information at BSP Rewards.com.

COLLECTION OF BSP REWARDS POINTS

Simply Log in to your Member Page in order to earn BSP Rewards on qualifying purchases on line at participating Partner locations." The purchase requirements and terms of issuance of BSP may vary from one Partner to another. We will credit your account only with BSP you earn by dealing with authorized Partners in good standing with us, and only after the Partner requests us to do so. Points will be only be issued on the retail price of your purchases, minus discounts, shipping and handling. We are not responsible if a Partner delays or fails to make such a request or for any other delay in recording points to your account. It may take 45 days or longer for BSP Points to be credited to your account. Some Partner locations may not participate in the Program. We may refuse to record or honor points in your account, or if already recorded, we may cancel them, if we cannot confirm that they were properly issued or obtained. We may also cancel recorded BSP if the issuing Partner does not pay amounts owing to us or tells us to cancel the points (for example, because you returned or didn't pay for products or services for which the points were issued). Partners will determine the conditions under which they will permit you to obtain points and may change those conditions at any time and without notice. Neither we nor any Partner is responsible for any offer of points which is no longer in effect. Any dispute must be settled between you and the Partner.

In the case that you do not receive your rewards points, after 2 weeks you can sumbit a Point Request Form. However, participating Merchants will not award points on purchases not reported within 90 days.

Except where required by law or provided for in the program rules, BSP points have no cash value and are not redeemable for cash. In certain jurisdictions, where required by law, BSP would be deemed to have a cash value not exceeding the minimum required by law.

REDEMPTION OF BSP REWARDS POINTS

In order to redeem BSP, the Member must be enrolled. Enrollment is accomplished by completing an enrollment application through a BSP Rewards Partner, Branded site or at www.bsprewards.com.

BSP points may be spent only on products and/or services offered on line through BSP Rewards.com, branded BSP Rewards network sites and at Partner locations where applicable. At the time of redemption, Members may be asked to identify themselves by presenting their membership number and/or card for in-store redemption, and their username and password for redemption online at BSP Rewards.com. Only the Member or authorized household cardholder (as defined below) may redeem BSP.

BSP points will be subtracted from a member's account once the award is requested.

BSP reserves the right to refuse a refund or exchange of BSP points to a Member if merchandise is returned, lost, stolen or destroyed.

We assume no responsibility for any loss, damage, defect, injury, death or expense relating to any award.

TRANSFERABILITY OF BSP REWARD POINTS / BSP REWARDS CARD

BSP may never be sold, exchanged, bartered, transferred or given without BSP's written consent, unless the following conditions apply:

The Member chooses to transfer their BSP points to a non-profit organization which BSP, in its sole discretion, has authorized. Non-profit organizations must provide a Certificate of Exempt Status to be considered as a non-profit organization.

If Member receives a BSP Rewards card, The Card is the property of BSP, to whom it must be returned upon request. It is non-transferable.

The only right a Member acquires in BSP points is to surrender them for redemption. In case of any other transfer, BSP reserves the right to invalidate them and/or to reject or restrain their use by, and/or to take them from, the transferee.

LIMITATION OF LIABILITY

Neither we, our affiliates nor any of our or their respective officers or directors have any responsibility or liability for any expense, loss, cost, injury, damage, delay, travel cancellation, accident or any other matter or thing whatsoever (collectively, "Costs"), however suffered or caused (including compensatory, incidental, indirect, special, punitive, consequential or exemplary damages or damages for loss of income or profits), directly or indirectly arising out of or related to (i) the Program or your participation in the Program; (ii) any failure, delay or decision by us in administering the Program or amending these Terms and Conditions or the basis on which you can redeem BSP; (iii) unauthorized use of the service or your Card; (iv) any offer, representation, statement or claim about the Program, any Partner or Supplier or their products or services, made by a Partner, Supplier or any other person; or (v) the purchase, redemption for or use of any goods or services of Partners or Suppliers, including any points, whether made available by us, any of our affiliates, Partners, Suppliers or otherwise.

NO WARRANTY

BSP CORPORTATION AND ITS PARTNERS PROVIDES ITS WEB SITE AND SERVICES "AS-IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. AND ITS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.

TERMINATION, CHANGES AND BREACH

BSP Corporation reserves the right, at its sole discretion, to suspend or terminate the BSP Rewards Program, to add, delete or change BSP Rewards Partners, to modify or limit the use of redemption of any awards in any respect, to modify or change redemption procedures, including the number of BSP required for particular awards, to modify or limit the collection of BSP, including but not limited to imposing time limits and changes in point values, and to alter, limit, modify or add to the BSP Rewards Program rules, regulations, terms and conditions. We may make these changes to any aspect of the Program, all without notice and even though changes may affect the value of BSP already accumulated without prior notice at any time and from time to time.

Points Expiration: BSP reserves the right to terminate any membership if that member has been inactive for a period of 24 consecutive months. A member shall be considered "Inactive" for such time as the member has not engaged in either any rewards point earning or spending transaction. Upon termination of an inactive account, the accrued reward points will be canceled.

GENERAL

These Terms and Conditions may be different from what you know about the Program. These Terms and Conditions constitute the entire agreement between you and us regarding your participation in the Program, your entitlement to collect and redeem BSP and your entitlement to any other benefits of the Program, and supercede all previous versions. Except as expressly contained in these Terms and Conditions, there are no conditions, representations, warranties, express or implied, statutory or otherwise. When you deal with us over the Internet, you consent to the formation of contractual relations through electronic communications. We are the final authority as to the interpretation of these Terms and Conditions and as to any other questions or disputes regarding the Program or any Award.

Lost or Stolen Gift Cards and/or Certificates

BSP will not replace a gift certificate that is lost or stolen after being received.

If an order has not arrived at the customer's shipping location within 13 days of the shipment date, BSP may cancel and replace such order, provided the holder submits to BSP a properly completed Affidavit of Claimant For Lost Gift Card or Certificate within 60 days of the shipment date. Upon receipt of such affidavit and provided a balance remains on the certificate(s) from such order, BSP will initiate a review process. The gift card or certificate may or may not be replaced, depending upon the outcome of such review. BSP will not replace any lost or stolen gift cards or certificates if the Affidavit of Claimant/Lost For Lost Gift Card or Certificate was not received within the 60-day period. To initiate the investigation, the customer should email customerservice@bsprewards.com.

BSP is not responsible for orders that are not received due to the customer inputting incorrect or incomplete delivery information.

BSP does not assume responsibility or liability for the actions, product, or content of any merchant.
